Due Diligence Manager

The Role

At Matrix Renewables we are looking for a highly motivated individual to play a key role managing due diligence activities for the group.

Based in Madrid, the Due Diligence Manager will be responsible for overseeing due diligence activities which arise from Matrix’s purchase of projects under existing agreements and will also assist in coordinating due diligence of M&A activities. This role covers Matrix’s key markets of Chile, Colombia, Spain, Italy and the USA, and

potentially other markets which Matrix may enter in the future. The successful candidate will be responsible for coordinating:

a)  Timely due diligence reports from consultants, lawyers, and other advisors

b)  Ensuring that main due diligence items are flagged to appropriate stakeholders including department heads

c)  Producing due diligence summaries of ongoing purchase / M&A activities

d)  Ensure that the timing of due diligence is coherent with other Matrix activities such as project onboarding and M&A

e)  Maintain data rooms for project purchases, and a corporate level data room which encompasses all projects and activities

The candidate is not expected to resolve due diligence issues, rather to ensure that the right people in the organization are aware of any issues arising from due diligence which are relevant to their role or group. The Candidate should therefore be confident in understanding what risks a utility or distribution scale project may face in development or operation and apply that knowledge to the work provided by local experts.

The candidate should have a very high level of attention to detail and be able to defend a position which they believe should be addressed based on their experience, instincts, or analysis.

Key activities and responsibilities:

  • Ensuring that due diligence is solicited by group heads in time to support wider Matrix activities, and that providers comply with agreed timetables of delivery

  • Compiling summary due diligence reports for management

  • Following up with departments on due diligence items which, according to Matrix’s

    advisors, or according to the judgement of the candidate, represent a potential risk to the business and which should be addressed before Matrix proceeds with the acquisition/deal

  • Secure vendor/developer data rooms

  • Manage internal Matrix data rooms, including a company wide data room “Exit Data Room”

  • Immediately flag any issues to director /CEO level which may be in contravention of Matrix internal policies

General Skills / Attributes:

  • Degree in Engineering, law, or business

  • At least 5 years of energy industry experience in a legal, development, project administration, project management, asset management, contract administration, or other role

  • Full understanding of the development, construction, and operational processes for solar or wind projects in at least one of Spain, Portugal, Chile, Colombia or the USA

  • A good communicator who can digest large amounts of information to condense into a format that can be disseminated and understood by an audience that will include

    management, and who may not necessarily be responsible for the issues flagged

  • An ability to perform at a high level in a matrixed organization, working in inter- departmental teams to achieve objectives

  • Solid communication skills: capability to establish technical discussions in different cultural environments

  • Fluent in Spanish and English
